SMVRT Legal — Free Contract Review Terms & Conditions

These Terms govern participation in the SMVRT Legal Free Contract Review ("Offer") provided by SMVRT Legal, LLC. By submitting a contract for review, you agree to these Terms.

1. What's Included

The Offer provides eligible businesses with a one-time review of a single business agreement. Under the Offer, SMVRT Legal will:

• Review the contract you submit
• Identify risks, gaps, and areas that may need clarification
• Provide redlines and suggested revisions inside the SMVRT Legal platform

No other legal services are included unless separately agreed to in writing.

2. Who Qualifies

To participate, your submission must meet all of the following:

• One contract per business
• Business or commercial agreements only
• Up to 10 pages
• Submitted in Word, PDF, or similar digital format

We reserve the right to decline any submission that falls outside the scope of this offer.

3. How It Works

• A 10–15 minute discovery call to understand your business and how the contract is used
• Setup of your SMVRT Legal workspace and upload of your agreement
• Attorney review and redlining inside the platform
• Your updated agreement is delivered inside SMVRT Legal following your discovery call

We aim to deliver your reviewed agreement within 72 business hours of your discovery call. Turnaround times are not guaranteed and may vary based on document complexity, attorney availability, and factors outside our control. SMVRT Legal shall have no liability for delays or failure to deliver within any expected timeframe.

4. No Attorney–Client Relationship

Participating in this Offer does not create an attorney–client relationship between you and SMVRT Legal or any attorney engaged by SMVRT Legal.

Any review, redlines, or suggested language are provided for general informational purposes only and do not constitute legal advice.

A separate written engagement agreement is required for formal legal advice or representation.

5. No Guarantees; Professional Liability

The Offer is not a substitute for independent legal advice. SMVRT Legal does not guarantee that:

• The agreement will be enforceable in any particular jurisdiction
• The agreement complies with all applicable laws
• All risks or issues have been identified or corrected
• The agreement is suitable for all future transactions

SMVRT Legal and any attorneys involved in the review shall not be liable for any errors, omissions, inaccuracies, or oversights in the redline or suggested revisions. You are solely responsible for reviewing, approving, and verifying all suggested changes before use. All suggested revisions are optional.

You remain solely responsible for how the agreement is used.

SMVRT Legal's total liability for any claim relating to this Offer shall not exceed $100 USD, regardless of theory of liability. SMVRT Legal shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages.

6. Using Your Contract Inside the Platform

Your updated agreement is fully usable inside SMVRT Legal, including editing, collaboration, tracked changes, and e-signature.

7. Downloading Your Contract

Downloading or exporting your agreement outside the platform is not included in the Offer. Download and export features are available with an active paid subscription.

8. Your Responsibilities

By participating, you confirm that:

• You have full legal rights to upload and modify the agreement
• The document does not violate any third party's rights or confidentiality obligations
• All information you provide is accurate to the best of your knowledge

You agree to indemnify and hold SMVRT Legal harmless against any claims arising from your document or your use of it, including SMVRT Legal's reasonable attorneys' fees and costs.

9. Confidentiality and Data Security

SMVRT Legal will take commercially reasonable steps to keep your documents confidential and maintain appropriate security measures to protect information shared during the Offer.

Documents may be processed through third-party platforms and service providers used to operate the SMVRT Legal platform. We are not responsible for the security practices of third-party providers beyond our reasonable oversight obligations.

SMVRT Legal shall not be liable for any unauthorised access, data breach, or disclosure of documents except to the extent caused solely by SMVRT Legal's intentional misconduct.

Because no attorney–client relationship is formed, attorney–client privilege does not apply to documents or communications shared during the Offer.

10. Our Right to Decline

SMVRT Legal reserves the right to decline any submission, modify the scope of the review, or suspend the Offer at any time without liability.

11. Governing Law

These Terms are governed by the laws of the State of Colorado. Any disputes will be resolved exclusively in the state or federal courts located in Colorado.

12. Changes to These Terms

We may update these Terms at any time. The date at the top reflects the most recent revision. Continued participation constitutes acceptance of any updates.

13. Acceptance

By submitting a contract for review, you confirm that you have read, understood, and agreed to these Terms.
