SMVRT Legal — Free Contract Review Offer Terms & Conditions

These Terms & Conditions (“Terms”) govern participation in the SMVRT Legal Free Contract Review Offer (the “Offer”) provided by SMVRT Legal, LLC (“SMVRT Legal,” “we,” “us,” or “our”). By participating in the Offer, you (“you” or “Customer”) agree to be bound by these Terms.

If you do not agree to these Terms, do not participate in the Offer.

1. Description of the Offer

The Offer provides eligible businesses with a one-time review of a single business agreement. Under the Offer, SMVRT Legal will:

  • Review the contract submitted by Customer;

  • Identify potential risks, gaps, ambiguities, or areas that may benefit from clarification; and

  • Provide suggested revisions and/or redlines within the SMVRT Legal platform only so the agreement is ready to use with your next client.

No other legal services are included unless separately agreed to in writing.

2. Eligibility and Scope

Participation in the Offer is limited and subject to all of the following conditions:

  • One contract per business

  • Business / commercial agreements only

  • Up to 12 pages, unless SMVRT Legal expressly approves a longer document following the discovery call

  • Document must be provided in a reasonably accessible digital format (Word, PDF, or similar)

SMVRT Legal reserves the right to decline any request or document at its sole discretion.

3. Process

The Offer generally follows this process:

  • A 10–15 minute discovery call to understand your business and how the contract is used

  • Setup of your SMVRT Legal workspace and upload of the agreement

  • Attorney input and/or automated compliance review/redlining inside the platform

  • Provision of a finalized version that can be used in the platform to edit, collaborate, track changes, and send for e-signature

Turnaround time may vary and is not guaranteed. SMVRT Legal makes no guarantees regarding turnaround time, completion time, or delivery schedules, and shall have no liability for delays or failure to deliver the review within any expected time frame.

4. No Attorney–Client Relationship

Participation in the Offer does not create an attorney–client relationship between Customer and SMVRT Legal or any attorney engaged by SMVRT Legal.

Any review, redlines, comments, or suggested language are provided for general informational and educational purposes only, and do not constitute legal advice.

A separate written engagement agreement is required for formal legal advice or representation.

5. No Legal Advice; No Guarantees

The Offer and its results are not a substitute for independent legal advice. SMVRT Legal does not guarantee that:

  • The agreement will be enforceable in any particular jurisdiction

  • The agreement complies with applicable federal, state, or international law

  • All risks or issues have been identified or corrected

  • The agreement is suitable for all future transactions or business needs

Customer remains solely responsible for how the agreement is used.

IN NO EVENT SHALL SMVRT LEGAL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES.

To the maximum extent permitted by law, SMVRT Legal’s total liability for any claim relating to the Offer shall not exceed one hundred dollars (USD $100), regardless of theory of liability.

Certain improvements and suggested language may be generated in whole or in part by automated systems or artificial intelligence. Customer is solely responsible for verifying the accuracy and suitability of all language before use.

All suggested language and revisions are optional, and Customer is solely responsible for determining whether to adopt, reject, or further modify any revisions before use.

6. Access and Use Within the Platform

As part of the Offer, the finalized agreement will be fully usable within the SMVRT Legal platform, including:

  • Editing

  • Collaboration

  • Commenting and tracking changes

  • Electronic signature

7. Downloading and Exporting

The Offer does not include downloading or exporting the finalized agreement outside the platform.

Download/export features (e.g., Word, PDF) are available only with an active paid subscription to SMVRT Legal. SMVRT Legal has no obligation to provide external file formats as part of the Offer.

8. Customer Representations and Warranties

By participating in the Offer, Customer represents and warrants that:

  • They have full legal rights to upload and modify the agreement

  • The document does not violate any third party’s intellectual property or confidentiality rights

  • The document does not contain information they are prohibited from sharing

  • All information provided to SMVRT Legal is accurate to the best of their knowledge

Customer agrees to indemnify and hold SMVRT Legal harmless against any claims arising from the document or Customer’s use of it, including without limitation SMVRT Legal’s reasonable attorneys’ fees and costs incurred in enforcing these Terms.

9. Confidentiality

SMVRT Legal will take commercially reasonable measures to maintain confidentiality of documents shared during the Offer.

Because no attorney–client relationship is formed, attorney–client privilege does not apply.

SMVRT Legal shall not be liable for any loss, disclosure, or unauthorized access to documents or information except to the extent caused solely by SMVRT Legal’s intentional misconduct.

10. Termination; Right to Decline

SMVRT Legal reserves the right, at its sole discretion, to:

  • Decline participation in the Offer

  • Decline any document submitted

  • Modify the scope of the review

  • Suspend or terminate the Offer at any time, without liability

11. Governing Law

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles.

Any disputes will be resolved exclusively in the state or federal courts located in Colorado.

12. Changes to These Terms

SMVRT Legal may update these Terms at any time. The “Last Updated” date at the top reflects the latest revision. Continued participation in the Offer constitutes acceptance of future revisions.

13. Acceptance

By participating in the Offer, Customer acknowledges that they:

  • Have read and understood these Terms;

  • Agree to be bound by these Terms; and

  • Understand that participation is optional and may be discontinued at any time.

Participation in the Offer constitutes full acceptance of these Terms and Conditions.
