Supplemental terms for one service
These Supplemental Terms of Use ("FDD Supplemental Terms") apply specifically to your purchase of the FDD Review Service offered by SMVRT Legal, LLC ("SMVRT LEGAL," "we," "us," or "our") through smvrtlegal.com. These FDD Supplemental Terms are incorporated into, and supplement, the general SMVRT LEGAL Terms of Use ("General Terms"). In the event of any conflict between these FDD Supplemental Terms and the General Terms with respect to the FDD Review Service specifically, these FDD Supplemental Terms govern.
Nature of the Service
1.1 The FDD Review Service consists of a review of a single Franchise Disclosure Document ("FDD"), covering all items required to be disclosed under the FTC Franchise Rule (16 C.F.R. Part 436), performed by an independent, licensed Texas attorney ("Reviewing Attorney"), and the delivery of a written summary of that review ("Review Summary") together with one (1) thirty (30) minute consultation call with the Reviewing Attorney.
1.2 Consistent with Section 3A of the General Terms, SMVRT LEGAL is not a law firm, does not perform the FDD Review Service itself, and does not provide legal advice. The Reviewing Attorney is an independent contractor, not an employee, agent, or partner of SMVRT LEGAL. The attorney-client relationship formed in connection with the FDD Review Service exists solely between you and the Reviewing Attorney. SMVRT LEGAL's role is limited to facilitating your engagement of the Reviewing Attorney through the Platform, including intake, payment processing, scheduling, and delivery logistics.
1.3 Nothing in these FDD Supplemental Terms alters the independent-contractor relationship, liability allocation, or disclaimers set out in Section 3A of the General Terms, which remain in full force.
Scope of Review
2.1 The FDD Review Service covers the Franchise Disclosure Document only, as submitted by you. It does not include, and you should not rely on it for, review of:
- The Franchise Agreement or any related exhibits, schedules, or ancillary agreements;
- Any state-specific franchise registration addenda not included in the FDD as submitted;
- Lease agreements, financing documents, or any other document not part of the FDD itself;
- Legal representation in any negotiation, dispute, or transaction with the franchisor.
2.2 Review of the Franchise Agreement or other related documents is available only as a separate, additional engagement, to be discussed on your consultation call and subject to separate fees and terms.
2.3 The Review Summary reflects the professional judgment of the Reviewing Attorney based on the document you submit. It is not a guarantee that every possible issue, risk, or ambiguity has been identified, and it does not constitute a certification, endorsement, or approval of the franchise opportunity described in the FDD.
Fees, Payment, and Cancellation
3.1 The fee for the FDD Review Service is a flat fee, as stated on the Website at the time of your purchase (currently $999), inclusive of the complete review and one consultation call. This is a flat fee; no hourly billing applies to the Standard FDD Review Service.
3.2 Payment is due in full at the time of intake, prior to the Reviewing Attorney commencing the review.
Cancellation and refunds
3.3 You may request a full refund at any time before the Reviewing Attorney has begun substantive work on your FDD. Once the Reviewing Attorney has begun the review, the fee is non-refundable, reflecting the flat-fee structure of the Service and the time committed by the Reviewing Attorney. To request a cancellation, contact us at admin@smvrtlegal.com as soon as possible after submission.
3.4 If your FDD requires materially more time to review than a standard single-state, single-unit franchise (for example, multi-state or multi-brand systems), we or the Reviewing Attorney may contact you before beginning work to discuss whether additional fees apply. No additional fees will be charged without your prior agreement.
Turnaround Time
4.1 SMVRT LEGAL targets delivery of your Review Summary within five (5) business days of (a) our receipt of your complete, legible FDD, and (b) confirmation of payment, whichever is later.
4.2 This is a target, not a guaranteed deadline. If you are approaching the fourteen (14) day review period provided under the FTC Franchise Rule, contact us immediately at admin@smvrtlegal.com so we can attempt to accommodate an expedited review; expedited handling is not guaranteed and may not be available in all circumstances.
Confidentiality and Document Retention
5.1 Your FDD and any related materials you submit are protected by attorney-client privilege from the time they are received by the Reviewing Attorney, to the extent such privilege applies under Texas law and the rules of professional conduct governing the Reviewing Attorney.
5.2 Your FDD and related materials will not be shared with any third party, used for any purpose other than performing the FDD Review Service, or retained longer than necessary to complete and deliver the Service. Absent a request from you to retain your materials for a longer period, SMVRT LEGAL and the Reviewing Attorney will delete your submitted FDD and related materials from active systems no later than thirty (30) days after delivery of your Review Summary, except where retention is required by applicable law, professional conduct rules, or insurance requirements applicable to the Reviewing Attorney.
5.3 This retention practice applies specifically to the FDD Review Service and, to the extent of any conflict, supersedes the general data retention terms described in Section 19A.4 of the General Terms with respect to materials submitted for this Service.
No Guarantee of Outcome
6.1 The FDD Review Service is intended to help you understand the contents of your FDD. It is not, and should not be understood as, a prediction or guarantee regarding the success, profitability, or advisability of any specific franchise investment.
6.2 Consistent with Section 17 of the General Terms, SMVRT LEGAL disclaims all liability for the substance of the legal review and the Review Summary, which is the sole professional responsibility of the Reviewing Attorney.
Acceptance
7.1 By checking the acknowledgment box presented during intake for the FDD Review Service, you confirm that you have read and agree to these FDD Supplemental Terms and to the General Terms of Use, in their entirety.
